Job Description

GENERAL SUMMARY: Legal Counsel is expected to perform independently and report to the Vice President & Assistant General Counsel. The individual must be relied upon to counsel business leaders in practical solutions that are aligned with the business strategy. This includes a demonstrated ability to spot issues, apply comprehensive analysis and exercise sound judgment on a daily basis.

ESSENTIAL DUTIES & RESPONSIBILITIES:

  • Proactively identify legal issues that require attention.
  • Prepare, review and analyze contracts involving various substantive areas of law including commercial, real estate, franchise, intellectual property, and employment related documents.
  • Draft and negotiate agreements in all areas of operations, business development and corporate compliance, including vendor agreements, license agreements and other corporate-related agreements.
  • Take an active role in counseling franchise for sale and franchise operations departments, draft and negotiate domestic franchise agreements, and draft franchise compliance correspondence.
  • Draft marketing based documents including image releases, promotional rules, and sponsorship agreements.
  • Collaborate with outside counsel on ongoing litigation matters.
  • Develop practical solutions and communicate same to the legal department's business clients.
  • Enhance the effectiveness of the legal department through participation in staff meetings, training, and positive interaction with internal and external clients.
  • Understand the company's business strategy.
  • Responsible for foreseeing and protecting the company against legal risks.

Requirements

REQUIRED QUALIFICATIONS:

1) Knowledge, skills & abilities:

  • Successful candidate must excel at drafting under fast paced deadlines.
  • Excellent communication (written and verbal), negotiation, interpersonal and analytical skills.
  • Ability to effectively manage competing priorities in a time-sensitive environment.
  • Exemplify a team-oriented attitude; a willingness to handle novel matters and projects outside of usual area of practice.
  • Ability to work and communicate well with operations personnel and other departments.
  • Experience working effectively in complex global organizations, satisfying the needs of diverse constituents, and working under pressure.
  • Must practice good judgment with the ability to handle confidential and sometimes highly sensitive matters in the appropriate manner.

2) Required Experience:

  • Juris Doctorate, admission to California Bar and strong academic credentials are required.
  • Candidate must have at least 3-4 years of experience working as a transactional lawyer in a law firm and/or as an in-house counsel.
  • Experience working with franchise law is preferred.
