GENERAL SUMMARY: Legal Counsel is expected to perform independently and report to the Vice President & Assistant General Counsel. The individual must be relied upon to counsel business leaders in practical solutions that are aligned with the business strategy. This includes a demonstrated ability to spot issues, apply comprehensive analysis and exercise sound judgment on a daily basis.
ESSENTIAL DUTIES & RESPONSIBILITIES:
Proactively identify legal issues that require attention.
Prepare, review and analyze contracts involving various substantive areas of law including commercial, real estate, franchise, intellectual property, and employment related documents.
Draft and negotiate agreements in all areas of operations, business development and corporate compliance, including vendor agreements, license agreements and other corporate-related agreements.
Take an active role in counseling franchise for sale and franchise operations departments, draft and negotiate domestic franchise agreements, and draft franchise compliance correspondence.
Draft marketing based documents including image releases, promotional rules, and sponsorship agreements.
Collaborate with outside counsel on ongoing litigation matters.
Develop practical solutions and communicate same to the legal department's business clients.
Enhance the effectiveness of the legal department through participation in staff meetings, training, and positive interaction with internal and external clients.
Understand the company's business strategy.
Responsible for foreseeing and protecting the company against legal risks.
