    This Corporate Counsel position will focus on support for commercial contracts (including contracts related to office leases, marketing events, professional services, software licensing, OEM contracts, reseller and distribution activities). The work will include transactions in support of the business on behalf of Forcepoint in the U.S. and globally.  The position will interact with our internal privacy counsel and will address GDPR/privacy issues as they relate to Forcepoint’s vendor agreements.  Candidates should be capable of producing high-quality work with quick turn-around times and minimum supervision in a flexible and fast-paced environment.

    Essential Functions

    • Draft, review and negotiate commercial contracts in support of the business
    • Draft, review, and negotiate other contracts such as nondisclosure agreements, pre-release/ beta test software agreements, and assignment agreements
    • Work closely with various internal stakeholders and provide counselling on business and legal issues that arise during negotiations
    • Find creative solutions in the context of complex negotiations
    • Review and edit marketing and advertisement collateral quickly and accurately
    • Perform other duties and projects as assigned

    Education and Experience

    • JD degree
    • Active Bar admission
    • Minimum of 3-5 years’ experience in the areas described above

    • Excellent analytical, writing and problem-solving skills
    • Excellent business judgment, strategic thinker, well organized and able to manage numerous projects simultaneously under deadline pressure
    • Flexibility and willingness to work on a broad variety of legal matters while being solutions-minded
    • Must be resourceful and self-motivated
    • Excellent organizational, communications, and writing skills.  Must be able to multi-task
    • Able to operate in a dynamic and high energy environment


    Preferred Skills and Background

    • Technology transactions
    • In-bound and out-bound software licensing
    • Marketing review and support
    • Some in-house experience preferred
    • Familiarity with commercial real estate leases, HR matters, and privacy laws
    • Experience with Microsoft Outlook, Microsoft Office, DocuSign, and Salesforce
