The Legal Department of The Walt Disney Company provides legal advice to the various businesses of the Company, including the consumer products-related businesses such as merchandise licensing, publishing, retail, games, and eCommerce (collectively, Consumer Products). As a member of the Disney Legal team supporting Consumer Products, this role will primarily focus on assisting a senior Disney Legal attorney in providing legal support to the National Geographic Partners consumer products business, including merchandise licensing, magazine and book publishing, exhibitions and live events (e.g., live onstage explorer talks), speakers’ bureau, and maps licensed and vertical businesses.
Draft, review, and negotiate various contracts, including license agreements for merchandise, license agreements for print and/or digital media, services agreements, and NDAs.
Analyze contracts in response to business questions, as well as to provide necessary contractual/research information to supervisor (to assist in assessing options and risks associated with each option).
Provide advice on legal issues relating to intellectual property licensing and related activities, including reviewing style guides and licensee packaging and marketing materials.
Acquire and maintain a clear understanding of various rights (including talent and asset restrictions) relating to NGP content and its use in consumer products in order to provide legal advice to clients, domestically and internationally.
Coordinate with subject-matter experts within Disney (e.g., privacy, tax, intellectual property, and international labor standards) to address issues arising from consumer products agreements and other license agreements to ensure compliance with Company policies.
Help to establish, update, and maintain processes and templates to create and maintain efficiencies.
Provide creative solutions to complex business and legal issues, across a variety of subject matters, scenarios, and alternatives.
Be a team player who collaborates well with business clients and Legal Dept. colleagues.
Perform such other responsibilities as may be deemed necessary in support of Consumer Products.
Minimum of 5 years’ experience negotiating and drafting contracts for a law firm advising major corporate clients and/or in a corporate legal department (intellectual property licensing experience preferred).
Ability to identify and analyze complex issues and devise solutions and strategies.
Ability to think at both a micro and macro (across company) level when analyzing issues and devising solutions.
Excellent written and verbal communication skills.
Strong drafting, negotiating and writing skills, as well as the ability to problem solve in an efficient, business-friendly, creative manner.
An excellent work ethic and commitment to professionalism.
Excellent attention to detail.
Strong interpersonal skills with all levels of co-workers both internal and external.
Must be willing to take ownership of projects and think proactively.
Ability to handle a high volume of work and work through projects with some supervision.
Superior organizational skills with the ability to multi-task, prioritize workload efficiently and effectively.
Law degree from a top-tier, accredited law school.
Admission to California State Bar Association or willingness and qualification to be Registered In-House Counsel.
May require travel from time to time to National Geographic offices in Washington, DC.
