We are seeking a Commercial Contracts Counsel to join our team in our Great Neck, NY headquarters location.
The Contracts Counsel will report directly to the Chief Intellectual Property Counsel and will be responsible for reviewing, drafting, and negotiating a wide range of corporate contracts in support of all of First Quality’s businesses.
Primary responsibilities include:
Draft, review, interpret, and negotiate contracts across all areas of the organization, including but not limited to, procurement, vendor, service, equipment purchase, software contracts and the like
Facilitate internal contract approval and stakeholder negotiation to resolve complex issues
Proactively communicate with business partners to establish and manage expectations and ensure all obligations are being met (e.g., milestones, deliverables, invoicing etc.)
Proactively identify solutions to complex legal issues that will eliminate or mitigate risks to the Company
Draft and update appropriate contract templates and work with company business units to develop contract strategies to support the organization
Engage appropriate internal subject matter experts to assist with and participate in information gathering, document development, and contract and issue reviews
Ensure consistency of contract terms with company policies and goals and best practices to enhance the contracts review processes
Interpret contract requirements, obligations and risk exposure and advise on same
Provide direction and guidance related to the contracting process. Provide input to the development, maintenance, and management of contracts and contracting policies and procedures
Educate business partners on key commercial, legal, corporate policy and other considerations to ensure timely performance and adherence to terms of contracts
Prepare contract summaries to assure proper interpretation of contracts
Review contractual documents to ensure adherence to company practice, client specifications and requirements, and conformance to master agreements
Respond to inquiries regarding contract obligations and revisions
The ideal candidate should possess the following:
Juris Doctorate degree and membership in good standing with the NY State Bar
Minimum of15+ years of commercial contract drafting/negotiating/review experience and providing businesses with practical legal advice, including developing, negotiating and managing a wide variety of commercial contracts; experience can be either at a well-established law firm or in-house
Demonstrated ability to effectively communicate with C-Suite executives, business partners and Legal colleagues on complex legal and commercial issues
An ability to work autonomously and confidently when carrying out all critical job functions
Proven negotiation skills and business acumen
Experience in developing, driving and implementing legal solutions
Demonstrated ability to work collaboratively on a variety of legal initiatives/projects
Ability to deliver strong results under tight deadlines and with a high degree of accuracy
Utilizes a solutions-oriented approach without compromising the best interests of the company
Team player capable of leading and participating within cross-functional project teams to meet key milestones in a busy and fast-paced environment
